The in-place upgrade works when you have a Vista Home Premium you can upgrade to Windows 7 Home Premium same with other flavors of Professional and Ultimate versions. Apparently, besides from that, like when you do Vista Home Premium to Windows 7 Professional this will requires the hassle of clean installations.
